Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and AdCut ("AdCut," "we," "us," or "our") governing your access to and use of the AdCut mobile application, website, software, AI-powered video editing features, and related services (collectively, the "Service").

By creating an account, downloading the app, subscribing to a plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1WHO MAY USE ADCUT

The Service is for people who are legally permitted to use it in the jurisdiction in which they reside. If you are under the applicable age of digital consent, you may only use AdCut with the involvement and permission of a parent or guardian who agrees to be bound by these Terms on your behalf.

You are responsible for making sure your use of AdCut complies with the laws that apply to you.

2WHAT ADCUT IS

AdCut is an AI-assisted video editing service. You upload raw video clips, and our systems help you trim, caption, enhance, and export a finished version, using a combination of automated tools and third-party AI processing.

Depending on the version of the Service you use, features may include AI-assisted trimming and auto-editing, captions and subtitles, visual effects, royalty-free music, video enhancement, and exporting your finished video. We may add, change, or remove features at any time, and we may release some features only to certain users or platforms first.

3YOUR ACCOUNT

You must provide accurate information when creating an account, and keep it up to date. You are responsible for everything that happens under your account, and for keeping your password and login credentials confidential.

You must notify us promptly at app.aifans@gmail.com if you believe your account has been compromised or used without your permission.

4PLANS, BILLING, AND SUBSCRIPTIONS

Plans. Certain AdCut features are available only on a paid plan. Prices, billing intervals, trial periods, and what each plan includes are shown to you before you purchase.

Where you buy. If you subscribe through the Apple App Store, Google Play, or another third-party platform, that platform's own payment, billing, and account terms also apply, and may control how your purchase is processed.

Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date, through the platform you subscribed on.

Price changes. If we change the price of a plan you are subscribed to, we will give you notice before the change takes effect. Continuing to use a paid plan after a price change takes effect means you accept the new price.

5CANCELLATION AND REFUNDS

You may cancel your subscription at any time. When you cancel, your plan stays active until the end of the period you have already paid for, and then it will not renew.

Refunds are handled by the platform you purchased through — for example, refund requests for an App Store purchase are submitted to Apple, not to AdCut, and are subject to Apple's own refund policies. Nothing in these Terms limits any refund right you have under mandatory consumer-protection law.

6YOUR CONTENT AND THE RIGHTS YOU GIVE US

You own your content. You keep all ownership of the videos, images, audio, and other material you upload to AdCut ("Your Content"). We do not claim ownership of it.

The license you grant us is narrow and purpose-limited. To provide the Service, you grant AdCut a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and technically process Your Content only as reasonably necessary to operate, maintain, and improve the Service — for example, to upload your video to our servers, run it through our editing and AI systems, generate your requested edit, and produce your export.

What this license does not let us do. This license does not let us sell, rent, publish, broadcast, publicly display, or otherwise use Your Content for our own promotional purposes without your separate permission, and it does not transfer ownership of Your Content to us.

Deletion. When you delete a project, a video, or your account, we handle the associated content as described in our Privacy Policy.

7YOUR RESPONSIBILITIES FOR YOUR CONTENT

You are solely responsible for what you upload, process, generate, or export through AdCut. By uploading any content, you represent and warrant that:

• You created Your Content, or you have all rights, licenses, and permissions necessary to upload and process it.
• You have the consent of every identifiable person appearing or speaking in Your Content to have their image, voice, or likeness processed by the Service.
• You have the rights to any music, footage, photographs, logos, trademarks, or other third-party material Your Content contains.
• Your Content does not infringe anyone's copyright, trademark, privacy, publicity, or other legal rights.
• Your Content does not violate any applicable law, and does not depict the exploitation or abuse of a minor.
• Your Content does not contain confidential, sensitive, classified, or proprietary information — including trade secrets, someone else's personal data, medical information, or financial information — unless you personally have the full legal right and authority to share it with AdCut and the third-party providers AdCut uses to operate the Service.

AdCut is a general-purpose editing tool, not a confidential-data or secure-document platform. We are not responsible for determining whether you have the rights described above — that responsibility is yours alone, and you assume all risk from choosing to upload content you were not authorized to share.

8ACCEPTABLE USE

Commercial use of videos you create with AdCut is permitted. That said, you agree not to:

• Use the Service for any unlawful purpose, or to create or distribute unlawful content.
• Upload content you do not have the rights to, or that infringes anyone's rights.
• Upload malware, or anything designed to disrupt, damage, or gain unauthorized access to the Service.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except where applicable law gives you the right to do so.
• Circumvent any usage limits, security measures, or access restrictions.
• Use automated systems to abuse, scrape, or overload the Service.
• Impersonate another person, or misrepresent your affiliation with anyone.
• Use the Service to harass, threaten, or abuse another person.
• Attempt to develop a competing service using access obtained through the Service, in violation of applicable law or these Terms.

We may suspend or terminate access where we reasonably believe an account or its content violates these Terms or creates legal, security, or operational risk.

9AI-ASSISTED EDITING — NO GUARANTEE OF RESULTS

Editing decisions inside AdCut are made by automated and AI-assisted systems. Those systems can make mistakes — they may misread your footage, cut a part you wanted to keep, keep a part you wanted removed, or produce an inaccurate caption. Review every edit before you publish, distribute, or rely on it. You are responsible for the final video, not AdCut.

We also do not guarantee that using AdCut will increase your views, followers, engagement, or revenue, or that any video you create will perform a particular way. Any examples or demos we show are illustrative, not a promise of results.

10OUR INTELLECTUAL PROPERTY

The Service — including the app, our website, software, designs, interfaces, branding, the AdCut name and logo, and other proprietary materials — is owned by or licensed to AdCut and protected by applicable intellectual-property law. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or create derivative works from our proprietary materials.

If you send us feedback, suggestions, or feature ideas, you grant us permission to use them without compensation or attribution to you, unless prohibited by law.

11THIRD-PARTY SERVICES AND AI PROCESSING PROVIDERS

AdCut relies on third-party infrastructure to operate, including cloud hosting and storage providers, AI and machine-learning processing providers, analytics providers, authentication providers, and payment processors. Depending on the feature you use, Your Content and related account data may be technically transmitted to and processed by one or more of these providers strictly to deliver the functionality you requested — for example, sending a clip to an AI provider to generate an automated trim.

You are responsible for not submitting content to AdCut that you are not authorized to share with these third-party processors. We select providers that are contractually or technically required to handle information appropriately, but we do not control their independent systems and are not responsible for their acts, omissions, or outages beyond what applicable law requires.

Our Privacy Policy describes the categories of data involved in more detail.

12COPYRIGHT COMPLAINTS

If you believe material available through AdCut infringes a copyright you own or control, send a written notice to app.aifans@gmail.com that includes:

• Your physical or electronic signature.
• Identification of the copyrighted work you claim is infringed.
• Identification of the material you claim is infringing, and enough information for us to locate it.
• Your contact information.
• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on the copyright owner's behalf.

We may remove or restrict access to content in response to a valid notice, and may terminate accounts of repeat infringers where appropriate.

13PRIVACY

Our Privacy Policy explains what information we collect and how we handle it, and it is incorporated into these Terms by reference.

14DATA STORAGE, BACKUPS, AND DELETION

AdCut stores Your Content and related account information on backend systems so that we can provide the Service — for example, to maintain your projects, allow you to export your videos, recover from technical failures, and provide customer support. By uploading content, you acknowledge it will be transmitted to and stored on AdCut's backend infrastructure rather than existing only on your device.

Deleting a project, a video, or your account removes it from our active systems within a reasonable time, but a copy may remain temporarily in backups, security logs, or disaster-recovery systems, or longer where we must retain it to comply with law, resolve a dispute, or enforce our agreements. You are responsible for keeping your own independent backups of anything important — AdCut should not be treated as your sole archive.

15SECURITY AND ACCOUNT RESPONSIBILITY

We use reasonable technical and organizational measures designed to protect the Service and the information processed through it. That said, no internet-connected system can be guaranteed completely secure, and you accept the inherent risk of transmitting information over the internet. You are responsible for maintaining the security of your own devices and credentials.

16AVAILABILITY

We aim to keep AdCut available, but we do not guarantee uninterrupted access. The Service may become temporarily unavailable due to maintenance, updates, infrastructure failures, third-party outages, security incidents, or events outside our reasonable control.

17SUSPENSION AND TERMINATION

You may stop using AdCut, or cancel your subscription as described in Section 5, at any time.

We may suspend or terminate your access if you materially breach these Terms, misuse the Service, create a security or legal risk, or where required by law. Where appropriate and legally required, we will try to give you notice and a chance to resolve the issue first.

Provisions that by their nature should survive termination — including those concerning intellectual property, Your Content, liability, indemnification, and dispute resolution — will continue to apply after your access ends.

18INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless AdCut and its owners, operators, employees, and contractors from any claim, loss, liability, or expense arising out of your Content, your violation of these Terms, your violation of someone else's rights, or your unlawful use of the Service.

19DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY AI-ASSISTED RESULT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. NOTHING IN THIS SECTION EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

20LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADCUT AND ITS OWNERS, OPERATORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ADCUT IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

21GOVERNING LAW

These Terms are governed by the laws applicable to AdCut's place of operation, without regard to conflict-of-law principles. If you are a consumer residing in a jurisdiction that grants you mandatory legal protections regardless of the law chosen in this section, nothing here limits those protections.

22DISPUTE RESOLUTION

If a dispute arises out of or relating to these Terms or the Service, please contact us first at app.aifans@gmail.com and give us a reasonable chance to resolve it informally. If we cannot resolve it informally, the dispute may be brought before the competent courts having jurisdiction over AdCut's place of operation, except where applicable law grants you the right to bring proceedings in the courts of your own place of residence, which right is preserved.

23CHANGES TO THE SERVICE AND THESE TERMS

We may modify, update, suspend, or discontinue parts of the Service, and we may update these Terms from time to time. The "Last Updated" date at the top of this page will reflect the latest revision. Where a change materially affects your rights, we will provide notice as required by law. If you do not agree with an updated version of these Terms, you must stop using AdCut.

24GENERAL

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and AdCut about your use of the Service.

Severability. If any part of these Terms is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is responsible for delays caused by circumstances beyond its reasonable control.
